The Constitution of the Hand in Hand Association of Al Akhawayn University:

Title 1: Constitution, Denomination, Purpose, Site, Duration

Article 1: Constitution
The association exists under the auspices of the Student Activities Office of Al Akhawayn University in Ifrane. The association is not for profit or political or syndical purposes.  

Article 2: Denomination
The name of the association is Hand in Hand association of Al Akhawayn university 

Article 3: Purpose

The purpose of the association is to mobilize the AUI Community to serve and assist persons in need, giving priority to Ifrane, and the surrounding region, and to raise the consciousness of others, inside and outside of the university, to these needs, providing a means to address them.

Article 4: Site
The association is located at Al Akhawayn Universiy in Ifrane and cannot be transferred to any other location.

Article 5: Duration
The duration of the association is fixed at ninety-nine (99) years from the start of its definitive constitution, with provision made for dissolution if necessitated by unforeseen circumstances.

Title 2: Composition, Dues, Membership

Article 6: Composition
The association is made up of members of the community of AlAkhawayn University
· Titular members who are members of the board
· General members who are not members of the board
· Honoree members who are persons designated by the board or the general assembly due to services rendered to the association.

Article 7: The Board
The association is administered by a board composed of elected and appointed members. For more details, see the by-laws. Candidates for board membership must be personally presented to the general assembly.
The board’s membership is comprised of:
· a president
· one or two vice presidents
· advisors
· a secretary reporter
· a treasurer
· an associate treasurer
· project coordinators

Article 8: Membership
Membership is accomplished trough written request and payment dues.

Article 9: Dues
Titulary and general members are required to pay dues each semester, the amount of which is fixed by the general assembly. These dues are used exclusively for the realization of the goals of the association.

Article 10: Exclusion, Resignation
The status of membership is lost through exclusion resignation, or decease. Resignation must be made in writing, addressed to the board of the association. In case of resignation, the interest party can’t expect any reimbursement nor any rights in with respect to the direction and activities the association.

Title 3: General Assembly

Article 11: Composition and Meeting
The general assembly is composed of the titular and general membership. Honorary members may also attend meetings of the general assembly, but only titular and general members have voting rights.
Members meet in general assembly one per semester.  

Article 12: The Convocation of the General Assembly
The regular meeting of the general assembly is convoked by the board at least 6 days in advance by individually addressed mail or e-mail. Special meetings are convoked at least days in advance in the same fashion.
The convocation notice must include the order of business, date, time, and place of e meeting.
The general membership can require a special meeting to be called if a least one-third of the general membership signs a petition to the board to this effect. This petition must specify the order of business.

Article 13: Admission, Direction, Attendance

All association members in good standing are admitted to meetings of the general assembly. Only titulary and general members have the right to vote on matters of business.
Members of the association can be represented at meetings of the general assembly by other members. One member of the association can therefore represent another and exercise his/her voting rights.
The general assembly is presided over by the president of the board or if need be by a vice resident.
For each meeting the general aver by the president of the board or if need be by a vice president.
For each meeting of the general assembly an attendance list is established, signed by each member present, and certified by board.
At the moment of the election of the board, the general assembly designates from among its membership two (2) persons. The oldest and the youngest members present, themselves no candidates for the current election, who will supervise the ballot. 

Article 14: Regular General Assembly
The regular meeting of the general assembly will deliberate on each question of the order of business.
The regular meeting of the general assembly receives the report of the board and the accounts of the association. The budget is made available to members at least 6 days before the meeting of the general assembly.
The regular meeting of the general of assembly cannot do business unless at least 50% of members with voting rights are present or represented by other members. In default, a second convocation will be addressed to members in the same fashion, with a delay of only 3 days, and this time the general assembly is charged to do business no matter what percentage of voting members are present or represented.
Resolutions are adopted by majority vote of members present or represented. In the case of a tie, the president’s vote decides the issue.

Article 15: Special Meetings of the General Assembly
Any modification of current statutes must done in a special meeting of the general assembly which can only do business if at least 50% of the voting membership is present or represented. In default, a second convocation will be addressed to members in like fashion, with a delay of 2 days only, and the assembly is charged to conduct business no mater what percentage of voting members are present or represented.
Resolutions are adopted by majority vote; in case of a tie vote, the president’s vote decides the issue. All changes voted are subject to the approval of the bureau of student activities of Al Akhawayn University.

Article 16: Minutes
Minutes of all assemblies are signed by the president and the secretary/reporter.
Title 4: Administration and Operation of the Board

Article 17: Meetings of the Board
The Board meets regularly once a week and at other times deemed necessary and convoked by the president or upon demand of the absolute majority of board members.
Announcements convoking meetings of the board must indicate the place, date, hour, and order of business. They will be sent by e-mail at least two days before regular meetings, though special meetings may be called on shorter notice.

Article 18: Moderation of Board Meetings
Meetings of the board will be presided over by the president or , if need be, by vice president or by the secretary-reporter.

Article 19: Minutes
The minutes of the meetings of the board must be signed by the president and the secretary-reporter.

Article 20: Role of the board
The board is invested with extensive powers to direct and protect the interests of the association. Its responsibilities include, but are not limited to:
1.Representing the association in all cases with respect to third parties;
2.Following by-laws to direct the association and proposing changes to the general assembly;
3.Convoking meetings of the general assembly and setting the order of business;
4.Preparing and proposing a budget for each semester for approval by the general assembly;
5.Assigning specific responsibilities to specific parties for designated periods of time to accomplish stated objectives;
6.Receiving dues and financial donations and managing these monies;
7.noting and authorizing all expenditures and acquisition of material goods;
8.Sign contacts linked to the objective of the association with any external partner;
9.Taking possession and responsibility of all material goods donated;
10.Requesting and receiving contributions;
11.Manage all material goods and assets of the association. However, any sale of goods or assets must be approved by the general assembly.

Article 21: Assets of the association
The assets of the association are comprised of:
1.Dues;
2.Financial gifts from other organizations and individuals;
3.Funds contributed each semester from the office of student activities;
4.Funds generated trough special events –cultural, scientific, artistic, or athletic-;
5.Other revenues and goods of the association.
