Bylaws of the NGO: Association
Environmental for all (AEFA)
Preamble:
AEFA is a non-governmental organization
(NGO) which aims to be purposeful and dynamic, making real contributions to environmental
improvement schemes on a local and national scale in close collaboration with all
stakeholders. The organization will encourage and support well-planned initiatives aimed
at the protection of the environment.
Chapter 1:
Name, location, duration, objectives
Article 1: According
to the Royal Dahir 376-58-1, Joumada 1, 1378, November 15, 1958 modified by Royal Dahir
283-73-1, dated 6, Rabia 1, 1393, April 10 1973, the Non-Governmental Association called
Association Environmental For All is created. It is referred as AEFA in these Bylaws.
Article 2: AEFA is located at the Al Akhawayn University, in
the city of Ifrane, Morocco.
Article 3: AEFA has been established for an
unlimited period.
Article 4: AEFA does not serve any political, religious or
commercial objective.
Article 5: Objectives of AEFA
1.
To develop an awareness of environmental concerns among all
categories of citizens.
2.
To support all fieldwork and research projects which
contribute to the solving of environmental concerns.
3.
To encourage and promote communication and exchange of
information between environmental protection organizations and all stakeholders with a
view to resolving perceived environmental problems.
4.
To organization and support activities focused on
environmental protection, particularly with the participation of young people.
5.
To encourage and promote national and international
environmentalist networks and develop the exchange of information and experiences with
other environmentally concerned organizations and institutions.
Article 6: Activities
1.
Organization of environmental workshops, training programs
and field trips.
2.
Design of environmental awareness and educational documents
as well multimedia tools.
3.
Organization of awareness campaigns throughout Ifrane and
the Middle Atlas region.
4.
Organization of visits to environmental national and
international projects
5.
Carry joint environmental projects and actions
with partners institutions and NGOs
Chapter 2:
Organization, Membership and Resources
Article 7:
Organization
The association includes fee-paying and honorary members. The association council offers
Honorary Membership to persons or institutions that provide a specific, valuable
contribution to the association. A fee-paying member pays an annual membership
subscription, the amount of which is determined at the Annual General Meeting (AGM). No
new member will be accepted without the recommendation of a minimum of two existing
members of the association.
Article 8: Rights of the fee-paying (subscribed) member. A
subscribed member shall have the right to:
1. Participate in the general assembly.
2. Vote in the Organizations elections.
3. Stand as a candidate for any elected post within the Organization.
4. Act as a committee
member of any committee in accordance with the recommendations of the General
Assembly or the Council.
5. Participate in all activities organized by the association
Article 9:
Lapse of membership.
Membership shall be deemed to have lapsed following:
1. Written resignation addressed to the Council
2. Non payment of annual membership fee after a three month period following
written notification to the member that the annual subscription is overdue.
Article 10: Resources
Resources shall be drawn from:
1.
Membership fees for new members and annual membership fee
for all
members payable at the beginning
of each year. A membership ID is delivered to all regular members.
2.
Proceeds earned from the Associations publications
(books, documents, journals etc.)
3. Financial assistance from any public
or private national or international
institution
4. Any income resulting from any specific activity of the association
Chapter 3:
Management
Article 11:
The association is managed by the Council whose members are elected during the General
Assembly. The Council decides on the selection of President and other officers
Article 12: The number of officers shall be seven:
President, Vice President, General Secretary, Deputy General Secretary, Treasurer, Deputy
Treasurer and a Consultant.
Article 13: One third of the standing members of the
council are replaced every two calendar year at the General Assembly meeting (AGM). 1/3 of
the Council members shall be renewed as decided in the General Assembly by direct
election. The one third of the council members due for replacement shall be decided
either:
A)
By resignation of the council member concerned
B)
By dismissal of council members who have not attended the Council meetings for a period
exceeding six months. Such Council members shall be removed from the council by majority
vote either at the General Assembly or at a Council meeting.
Article 14: The
Council manages the association, represents it in all activities, prepares the annual
program of activities, and executes the recommendations and decisions of the General
Assembly.
Article 15: The Association President is responsible for
implementing the recommendations of the Council and General Assembly and decisions in the
everyday running of the Association. He represents the Association in Court and in any
other official function. In consultation with other officers, the President
represents the Association when dealing with national and international public or private
institutions.
The President presides over the General
Assembly, and signs the checks of the Association jointly with the treasurer.
In the absence of the President, the Vice President or the General Secretary will
substitute.
The President may call for a normal or ad hoc meeting of the Council. He prepares the
activity report for the Council at the end of his or her mandate.
Article 16:
In the absence of the President, the Vice President assume his responsibilities
Article 17: The General Secretary is responsible
for preparing minutes of all meetings and for correspondence.
Article 18: The General Secretary is responsible for
collecting membership fees and any financial assistance allocated to the association. He
is responsible for reimbursing Association expenses and for the budget. At the end of the
Councils mandate the General Secretary is responsible for the submission of a
financial report. He could resign only during a Council Meeting or the General Assembly
after submitting the financial report including details of all income and expenditure.
Chapter 4:
General Assembly and the Disbanding of the Association
Article 19:
The General Assembly includes all members.
1. Subscribed
members meeting requirement specified in Article 7,8, 9,10.
2.
Each subscribed member has one vote in all elections.
3.
The General Assembly meets for a normal session at a
minimum once per year. In Spring of each year, the Council determines the place and
the date of the meeting.
4.
The General Assembly can meet in an extraordinary session
to consider special matters following a request from 1/3 of associated members
5.
Calls for General Assembly Meetings can be made orally or
in writing, or by personal invitation, 25 days before the General Assembly
date.
Chapter 5:
The Association can launch Association Units with similar objectives within the Province
of Ifrane and the Middle Atlas region. It can also form partnerships with other national
and international NGOs having the similar objectives. It can participate within
international associations and institutions working with similar objectives.
Each member of this association is
committed to respecting the policies and procedures described in the bylaws. Any matter
not concerned with these bylaws should be considered according to Dahir dated Jumada 3,
1378 concerning Non Governmental Associations and other reviewed and completed articles as
stated in Chapter 1.
Article 20: The General Assembly shall assure the observation
of the Associations bylaws, vote for the Council members, review the budget of the
projected activities after discussing and approving each activity and its previously
submitted financial study.
Article 21: The General Assembly shall not consider any
matter unless 2/3 of members are present. In case of not satisfying this quorum, a second
call to all members is made not exceeding 25 days after the date of the first date of the
Assembly. If the meeting remains inquorate the General Assembly can then consider the
matter with any number of present members
Article 22: Disbanding of the Association must be made at the
General Assembly Meeting in the presence of at least 2/3 of the assembly members. In
that case, the General Assembly will request that the members deal with the financial
resources of the association according to the Dahir 378:58/1 dated 3 Joumada Oula,1378,
November 15,1958
